Agreement to These Terms

These Terms of Service (the “Terms”) govern your access to and use of stonebaytechnologies.com, along with any content, features, and materials offered through it (together, the “Site”). The Site is operated by Stonebay Technologies LLC, a limited liability company organized under the laws of the State of Wyoming, United States (“Stonebay,” “we,” “us,” or “our”).

By visiting or otherwise using the Site, you confirm that you have read and understood these Terms and agree to be bound by them. If you are acting on behalf of a company or other organization, you represent that you are authorized to bind it. If you do not agree with any part of these Terms, please do not use the Site.

The Site and Our Services

Stonebay is an engineering consultancy focused on vector search, data mining, and AI infrastructure. The Site exists for general informational purposes: it describes who we are and the kind of work we take on. Nothing on the Site is an offer, quote, or promise to provide services, and browsing it does not create a client or advisory relationship.

Any consulting or engineering work we perform is governed solely by a separate written agreement — such as a master services agreement or statement of work — signed by both parties. If that signed agreement conflicts with these Terms, the signed agreement controls for the services it covers.

No Professional Advice

Information published here is general in nature and may not reflect the latest developments. It is not intended as, and should not be treated as, engineering, technical, legal, financial, or other professional advice for any particular situation. Please do not act, or hold off on acting, based on Site content alone — engage us under a written agreement or speak with a qualified professional first.

Acceptable Use

You agree to use the Site lawfully and in a way that respects the rights of others. In particular, you will not:

  • use the Site in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its servers, or any connected system or network;
  • probe, scan, or test the vulnerability of the Site, or defeat any security or authentication measure;
  • use bots, scrapers, or other automated means to access, harvest, or copy content except as our robots.txt permits;
  • upload or transmit malware or any code intended to disrupt, damage, or overload the Site; or
  • reproduce, republish, or commercially exploit Site content without our prior written permission.

Intellectual Property

Unless noted otherwise, the Site and everything on it — text, graphics, logos, images, layout, and the Stonebay Technologies name and marks — belong to Stonebay or its licensors and are protected by United States and international intellectual-property laws.

We grant you a limited, revocable, non-exclusive license to view and access the Site for your own informational, non-commercial use. No other right or license is granted, whether by implication, estoppel, or otherwise, and all rights not expressly granted are reserved.

Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent allowed by law, we disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, timely, or error-free, or that any information on it is accurate, complete, or current.

Limitation of Liability

To the fullest extent permitted by applicable law, Stonebay and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of — or inability to use — the Site, even if we were advised such damages were possible.

In no event will our total liability arising out of or relating to the Site exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Stonebay and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys’ fees — arising out of or connected with your misuse of the Site or your breach of these Terms or of applicable law.

Privacy

We respect your privacy. This is an informational site, and we aim to collect as little personal information as possible. Anything you choose to send us — for example, by emailing the address below — is used only to respond to your inquiry and is never sold. Routine server logs may record technical details such as IP address and browser type for security and operational reasons.

Changes to These Terms

We may revise these Terms from time to time to reflect changes in our practices or for legal or operational reasons. When we do, we will update the “Last updated” date above. Revised Terms take effect once posted to this page, and your continued use of the Site afterward means you accept them. We suggest checking back periodically.

Governing Law and Venue

These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any such dispute will be the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

General Provisions

If any provision of these Terms is held unenforceable, it will be limited or removed to the least extent necessary, and the remaining provisions will stay in full force. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

These Terms, together with any separate written agreement that governs our services, form the entire agreement between you and Stonebay concerning the Site.
